Corporate governance

For Starbreeze, good corporate governance is the basis for maintaining a trusting relationship with shareholders, employees and other stakeholders.

Starbreeze is a Swedish listed company and our corporate governance is based on the Swedish Code of Corporate Governance, the Code. Through good corporate governance and transparency, we create a stable relationship with our shareholders, employees and other stakeholders.

The code is based on the "comply or explain" principle. This means that a company applying the Code can deviate from individual rules, but must then describe the alternative solution and explain the reason for the deviation in its annual corporate governance report. Any deviations from the Code are reported in the Starbreeze corporate governance report. Starbreeze does not intend to deviate from any of the Code's rules.

In addition to the Code, Starbreeze's corporate governance is based on Swedish legislation, Nasdaq Stockholm's Rules for issuers and other rules and guidelines to which the company is subject.

The internal governing documents include, among other things, the board's rules of procedure, instructions for the managing director, instructions for financial reporting and the authorization and financial policy manual.
